1. Proposed Company Name
If you have a particular name in mind, we will check to ensure that the company name is available for use, and advise of anything similar or you can check whether your name is available on the Companies House website. If not, you can select a company from our stock of readymade companies. We would advise you not to get letterhead printed or inform third parties of a name until we confirm that the company has been formed.
2. Objects
The objects of the company are its trading activities. A company may only engage in those activities that are covered by its objects clause. We will assume that you want general trading objects unless you tell us otherwise
3. Share Capital
From incorporation every company limited by shares must have a share capital, known as the "nominal" or "authorised" capital. This bears no relevance to the "allotted" or "issued" capital that represents how much money the shareholders have contributed to the company. Our Companies can be formed with various authorised share capitals. The issued share capital is a matter that needs to be decided on and we would be happy to advise accordingly.
4. Directors
A minimum of two individuals are required to incorporate a private limited company, one to act as company director and one to act as company secretary. If you so wish, it is possible for the director to also act as company secretary, providing there is a second person willing to act as a second director.
5. Company Secretary
Every company must have a company secretary; a sole director cannot also be the secretary. No formal qualifications are required for a company secretary of a private limited company.
6. Registered Office
The registered office is the address of a company to which all Companies House letters and reminders will always be sent. It is not a mailing address. The address can be based anywhere in England and Wales (or Scotland if your company is registered there). We are happy to have the registered office at our address and the charge for this service is £85.00 + VAT per annum.
